AI training data licensing agreements: the terms that matter.
What a license from your company to an AI lab usually says, clause by clause. Through Allied there is no cost to the seller.
What the public filings show
Few of these contracts are public. Reddit’s IPO filing gives the clearest look at one. In January 2024 it signed data licensing arrangements with an aggregate contract value of $203.0 million, running two to three years.1
Reddit expected at least $66.4 million of that to be recognized as revenue in 2024. It delivers through continuous API access plus quarterly data transfers over the term, so the revenue is booked as data is delivered, not all at signing.1
Shutterstock licenses metadata from its library to train AI models. Its Data, Distribution, and Services revenue, which also includes Giphy and custom production, grew from $38.5 million in 2022 to $175.3 million in 2024.2
A company licensing its Slack, email or CRM history signs a shorter contract. The clauses are the same. What sets the fee is covered in what company data is worth.
The clauses, one by one
Most AI data licenses are built from the same parts. The right column is where Allied starts; your written offer states anything different. Full defaults are on our standard terms.
| Clause | What it usually says | Allied’s starting point |
|---|---|---|
| Grant and scope | Which uses the lab may make of the data. Vague words like “research” cause disputes. | Training and evaluating the lab’s models. Nothing else. |
| Ownership | The licensor keeps title. The lab receives a copy under license. | You keep title and your originals. |
| Exclusivity | Usually open to other buyers. Exclusivity is priced separately. | Non-exclusive unless you take an exclusivity premium. |
| Term and renewal | A fixed period, renewed only by agreement. | Stated in your written offer. |
| Fee and payment | A fixed fee, or installments tied to delivery. | Wire 30 to 60 days after the lab accepts the data. |
| Deidentification | The licensor strips identifiers. The lab promises never to reverse it. | You approve a sample before delivery. |
| Resale and sublicensing | Barred, or limited to named affiliates. | Barred. |
| Deletion | The lab deletes the data at the end of the term. Trained models are handled in a separate clause. | The lab deletes the data when the license ends. |
| Warranties and indemnity | The licensor promises it has the right to license and collected the data lawfully. The lab covers its own misuse. | Agreed in the license, after our contract review. |
| Audit | A right to check compliance, often limited to records of what was used in training. | Negotiated per lab. |
Where the clauses come from
Scope is where disputes start. In Fastcase v. Alexi, filed in November 2025, Fastcase alleges that a 2021 license limited to “internal research purposes” did not allow training a commercial AI product. A license should name training and evaluation outright, and nothing broader.6
The no-re-identification clause has a statutory root. Under the CCPA, information counts as deidentified only if the business that holds it contractually obligates any recipients of the information to follow the same rules, including never trying to reidentify it.3
Deletion has one too. Where EU personal data is handled before anonymization, GDPR Article 28 requires a processor contract under which the processor deletes or returns all the personal data when the service ends. Any vendor that touches your raw export should sign one.4
If your terms of service or employee policies never mentioned AI training, do not fix that with a quiet edit. The FTC has said it may be unfair or deceptive to adopt more permissive data practices and disclose them only through a surreptitious, retroactive amendment.5
How a license gets signed through Allied
Questionnaire
A few questions about headcount, years of records and systems. The usual fit is 25 or more employees. Request an offer.
Discovery call
We go through which systems you hold, such as Slack, Microsoft Teams, Google Workspace, Salesforce, HubSpot, Zendesk or GitHub, and read your employee policies and customer contracts for anything that limits licensing.
Written offer
One to two weeks after the call. It names the lab, the systems and date ranges in scope, the fee and whether the license is exclusive.
Anonymization and sample
An admin grants read-only access. Names, contact details and customer identities come out before anything leaves, and you sign off on a sample. How anonymization works.
Delivery and payment
The lab accepts delivery and pays by wire 30 to 60 days later. Allied is paid by the lab, not by you.
What to check before you sign
Read the grant clause first. It should list training and evaluation of the lab’s own models and bar resale, sublicensing and re-identification.
Then find the end of the license. It should say the lab deletes your data when the term ends, and say separately whether models already trained on it may stay in use.
Last, check exclusivity and payment. An exclusive license should carry a higher fee, and the payment date should run from acceptance of delivery, not from some later event the lab controls. Which records labs want is set out on what we license.
Questions
Who drafts the license?
The lab usually starts from its own form. Allied negotiates scope, exclusivity and deletion against it, and your counsel reviews the final draft.
Does the lab own the model it trains on our data?
Usually yes. The license covers your data, not the model. Whether a trained model stays in use after the term is a separate clause, so read it.
Can we license the same records to more than one lab?
Yes, if the license is non-exclusive, which is Allied’s default.
Do our employees have to consent?
Your own policies and customer contracts decide most of it. We read them before any offer and tell you what needs fixing first.
Is this page legal advice?
No. It explains common terms. Have your own counsel review any license before you sign.
